Company Secretary

Biripi Aboriginal Corporation Medical Centre is seeking an experienced and highly organised Company Secretary to provide expert governance support, ensure compliance with statutory and regulatory obligations, and contribute to effective Board operations and organisational decision-making.

This is a voluntary, unpaid position suited to someone who is committed to supporting strong governance and contributing to the ongoing success of an Aboriginal community-controlled health organisation.

About the Role:

The Company Secretary is responsible for providing high-level governance, administrative, and statutory support to the Board of Directors. The role ensures the effective operation of Board and committee processes, the integrity of corporate records, and compliance with legal, regulatory, and organisational governance requirements. The Company Secretary works closely with the Chairperson, Board members, and Chief Executive Officer to support sound decision-making, accurate record keeping, and effective board administration.

The key objectives of the role include:

• Prepare Board agendas in consultation with the Chairperson and Chief Executive Officer.
• Coordinate the scheduling and administration of Board and committee meetings.
• Prepare and distribute Board and committee papers in a timely and accurate manner.
• Draft Board resolutions for consideration, where required.
• Ensure meeting matters are recorded appropriately, and action items are tracked
• Minute Taking and Meeting Records
• Attend Board and committee meetings as required.
• Record accurate and complete minutes of meetings.
• Circulate draft and final minutes within agreed timeframes
• Maintain a clear and reliable record of Board discussions, decisions, and resolutions.
• Ensure the organisation meets relevant statutory and governance obligations.
• Support compliance with the organisation’s constitution, rule book, policies, and procedures.
• Provide advice on governance processes and Board administration, where appropriate.
• Monitor and support the implementation of Board decisions and governance requirements.

• Commitment to good governance and continuous improvement
• Ability to work collaboratively with directors, executives, and stakeholders.
• Ability to hold all relevant security clearance including Police Check and Working with Children Check.
